五、合同解除、變更、終止 Revocation and Termination of Labour Contracts

2、乙方在本合同履行期間可以在說明原因的情況下向甲方提出終止實習合同,但必須提前1個月通知甲方,并作好工作交接,否則應(yīng)承擔相關(guān)責任。
2. Party B cannot suspend the contract during the period of validity unless he informs Party A and explains the reason 1 month in advance and arranges the handing-over, or Party B shall take the responsibility of any loss of Party A.

4) 房屋交付:甲方于收到乙方全部轉(zhuǎn)讓款項當日,將該房地產(chǎn)交付乙方,雙方應(yīng)簽署《房屋交接書》。交付前的物業(yè)管理費及公用事業(yè)費由甲方承擔,交付后的物業(yè)管理費及公用事業(yè)費由乙方承擔。固定裝修、附屬設(shè)施設(shè)備以及經(jīng)甲乙雙方確認的家電、家具等價格已經(jīng)包含在該房地產(chǎn)轉(zhuǎn)讓總價款內(nèi),甲方須保證該房屋內(nèi)附屬設(shè)施、設(shè)備均能正常使用及室內(nèi)裝飾與簽訂買賣合同之日的狀況相符。
4)Delivery. At the date on which all transfer prices,party A shall deliver this real estate to Party
B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore. Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.
Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein .
5)相關(guān)費用:Miscellaneous Charge.
[交易稅費]:雙方同意,交易中所涉及的上述買賣雙方的稅費由 □各自承擔并支付;□由甲方承擔并支付;□由乙方承擔并支付。

甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確,無異議登記、單方預告登記,無司法、行政查封等限制性交易情形存在;若因本條所述情況導致本協(xié)議效力瑕疵,甲方應(yīng)返還乙方所有已付房款并賠償乙方實際損失。
Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades. If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.
五、【爭議解決】
6. DISPUTE SETTLEMENT
各方在本協(xié)議履行過程中發(fā)生爭議的,應(yīng)友好協(xié)商;協(xié)商不成的,應(yīng)向該房地產(chǎn)所在地人民法院起訴。
Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.
六、【合同效力】
6. VALIDITY
本協(xié)議自甲、乙雙方簽署起對甲、乙生效,丙方簽署后對丙方生效,一式三份,甲、乙、丙三方各執(zhí)一份。
This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon. This Contract shall be executed in triplicate and each Party shall have one copy.

第四條 借款劃付Article 4 Transferring of loan.

第五條 借款利率和計息 Article 5. Interest rate of loan and calculation
5.1借款利率。本合同項下借款利率根據(jù)國家有關(guān)規(guī)定,確定利率見 。遇利率調(diào)整時,借款期限在1年(含)以下的,執(zhí)行合同利率,不分段計息;借款期限在1年以上的,實行分段計息,從利率調(diào)整的次年1月1日開始,按相應(yīng)利率的檔次執(zhí)行新的利率;如借款人未按約定時間歸還借款本息或未按合同約定用途使用借款,貸款人將按國家規(guī)定對借款人計收罰息,罰息率見 。
5.1 Interest rate of loan: The interest rate under this Contract is specified in 36.5 in line with relevant rules. In case of change of interest rate, the interest rate stipulated in the Contract shall prevail for loans with a life of less than or equal to one year; For loans with a life exceeding one year, the interest shall be calculated on a multi-stage basis, i.e. From next Jan. 1st following the adjustment of interest rate, the new rate shall prevail. In case the Borrower fails to repay the principal and interest before the due date, or fails to use the loan for purposes as agreed in this Contract, the lender shall be entitled to collect default interest in line with relevant rules. The default interest rate is specified in 36.6.
5.2遇利率調(diào)整時,實行分段計息的,貸款人有權(quán)根據(jù)國家有關(guān)規(guī)定自行調(diào)整,不另行通知借款人。
5.2 In case of calculating interest on multi-stage basis due to adjustment of interest rate, the lender shall be entitled to adjust the interest rate on his own without further notice to the Borrower.
第六條 還款方式 Article 6 Type of Repayment of Loan
6.1借款人應(yīng)在貸款人開設(shè)帳戶,戶名和帳號見 36.7 ,并保證在每次還款日前足額存入當期應(yīng)還款項的.存款。借款人在此授權(quán)貸款人從借款人該帳戶中扣收借款本金、利息和可能發(fā)生的復利、罰息、違約金、保費、損害賠償金及實現(xiàn)債權(quán)的費用(含律師費和訴訟費)。如該帳戶資產(chǎn)不足以歸還到期的貸款本息,貸款人有權(quán)從借款人在中國工商銀行任何分支機構(gòu)開立的任何帳戶劃收。
6.1 The Borrower should open an account with the Lender( The account name and account number are specified in 36.7.) and promise to deposit sufficient money for repayment before each due date. The Borrower hereby authorizes the Lender to collect , if any, compound interest, default interest, liquidated damage, premium, compensation and expenses arising from the realization of creditors right (including lawyers fee and court expense)in addition to due principal and interest of loan. In case the asset in this Account is not enough for repayment of due principal and interest, the Lender shall be entitled to collect from any Account opened by the Borrower with any branch of ICBC.
6.2貸款人與借款人雙方商定,自貸款發(fā)放次月起,借款人按月歸還貸款本息(一次性還本付息除外),還款期數(shù)及還款方式見 36.8 。
6.2 The Borrower shall repay the principal and interest on a monthly basis (Except repaying principal and interest in a lump sum) from the second month following the issuing of loan , as agreed between the Borrower and Lender. The repayment tenors and type are specified in 36.8.
6.3借款期間遇利率調(diào)整,如執(zhí)行本合同5.1條實行分段計息的,對借款期限在1年以上的,應(yīng)從利率調(diào)整的次年1月1日開始根據(jù)未償還借款余額和剩余還款期數(shù)進行調(diào)整,重新計算還款金額。
6.3 In case of multi-stage calculation of interest as specified in 5.1 due to adjustment of interest rate during the life of loan, the repayment amount for loans with a life exceeding one year shall be recalculated on the basis of balance of unpaid loan and the rest of repayment tenor from next Jan. 1st following the adjustment of interest rate.
6.4借款人提前歸還貸款須經(jīng)貸款人書面同意,,提前歸還部分的利息仍按本合同約定的利率和該部分實際使用天數(shù)計算。
6.4 Repayment of the loan ahead of schedule by the Borrower shall be subject to written consent from the Lender. The interest of prepaid amount should be calculated on the basis of rate specified in this Contract and actual days.
第七條 擔保方式 Article 7 Guaranty type.
本合同的擔保人及擔保方式見 36.9。具體約定由本合同中相應(yīng)的擔保條款確足。

方辦理有關(guān)該地塊的相關(guān)手續(xù)(包括報建、水電、消防、開戶、營業(yè)執(zhí)照等),但所需的一切費用由乙方承擔。
If Party B needs to carry out any construction during the lease term, Party B shall obtain Party A’s and the competent authorities’ consent, and undertake all necessary approval formalities, with all relevant construction expenses to be borne by Party B. If Party B meets relevant requirements and conditions under laws and policies, Party A shall have the obligation to assist Party B in
undertaking relevant formalities for such land (including construction proposal submission, water and electricity, fire-fighting, bank account opening and business license, etc.), provided that all necessary expenses shall be borne by Party B.
4、乙方必須依法經(jīng)營,租賃期內(nèi)必須遵守中華人民共和國的各項法律法規(guī)。在該土地內(nèi)所產(chǎn)生的任何稅費(包括國家或地方政府征收的土地使用稅及房產(chǎn)稅等)由乙方負責支付。同時,乙方應(yīng)嚴格按照政府有關(guān)管理要求做好安全、環(huán)保、消防、防噪音等工作,因工作措施不到位而產(chǎn)生責任事故的,該事故責任及經(jīng)濟損失(包括第三方的經(jīng)濟責任)由乙方負責,與甲方無關(guān)。
Party B shall engage in its business activities according to the law, and must comply with laws and regulations of the People’s Republic of China during the lease term. Party B shall be liable to pay any taxes and fees arising from the land use (including the land use tax and real estate tax levied by state or local governments). 一、甲方委托乙方將主題為_______________資料由__________文譯成__________文,資料共計為字(終以實際的翻譯字數(shù)為準),甲方同意為此交付對應(yīng)的服務(wù)費用。

九、有限責任:乙方在本合同下負有如下有限責任:
。1)乙方為甲方提供的原文資料永久保密,不得擅自將原文資料及其內(nèi)容透露給第三方,也不得擅自將這些機密資料用作他途;否則甲方保留其訴諸法律的權(quán)利
。2)乙方保證譯文語句流暢,符合成文語言的語法規(guī)則和習慣;并盡最大的可能使譯文與原文含義一致。
十、免責條款:乙方在本合同下對下列事件不負任何直接或連帶責任:
。1)因甲方侵犯第三方版權(quán)/專利權(quán)而引起的第三方的一切及任何損失;
。2)因原文中存有錯誤而引起的一切及任何損失;
(3)因譯文與原文一致而引起的一切及任何損失;
。4)因甲方收到譯文后自行改寫或丟失所引起的一切及任何損失。
十一、甲方逾期交款,無正當理由者,則按日交納所欠金額的千分之五作為違約金。本合同中如有其它未盡事宜,雙方協(xié)商解決。協(xié)商不成,據(jù)《中華人民共和國民法典》處理。
十二、合同終止:乙方交清譯成資料,甲方交清服務(wù)費用,確認期滿后本合同自行終止(第九條除外)。如經(jīng)甲乙雙方協(xié)商,或因一方違約,或因不可抗力影響,雙方同意不再繼續(xù)合同的,合同將中止執(zhí)行。
