五、租金：

七、其他費(fèi)用：

八、甲方的.責(zé)任：
party a’s obligations:
8.1 甲方須按時(shí)將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。
party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)
8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定)，甲方保證乙方可不受干擾的享用該物業(yè)。
party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.
8.3 在乙方遵守本合同的條款及支付租金的前提下，乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。

九、乙方的責(zé)任：

9.1 乙方應(yīng)按合同的規(guī)定，按時(shí)支付租金，保證金及其他各項(xiàng)應(yīng)付費(fèi)用。
party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.
9.2 乙方應(yīng)愛護(hù)使用出租房屋，如因乙方的過失或過錯(cuò)致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外)，乙方應(yīng)負(fù)賠償責(zé)任。

十、違約處理：

alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;
c.無故拖欠租金超過三天(除雙方就本合同存在爭(zhēng)議除外)。

十一、適用法律：

13．裝運(yùn)條款：

15．質(zhì)量保證：
Quality guarantee :
貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港_____個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。
The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
16．商品檢驗(yàn)：賣方須在裝運(yùn)前_____日委托 檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書，貨到目的港后，由買方委托____檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。
Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.
17．索賠
Claims:
如經(jīng)中國_____檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后 天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18．延期交貨違約金
Late delivery and penalty
除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計(jì)算的違約金即付買方。
If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及
時(shí)通知買方。
Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.
20．爭(zhēng)議之解決方式：
Disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。
All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . 21．法律適用
Law application :
本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。

The Seller shall, on the merits of the claim, either make good the loss sustained by the Buyer or reject their claim, it being agreed that the seller shall not be held responsible for any loss or losses due to natural cause failing within the responsibility of Ship owners of the Underwriters. The Seller shall reply to the Buyer within 30 days after receipt of the claim.

LATE DELIVERY AND PENALTY: In case of late deliver, the Buyer shall have the right to cancel this contact, reject the goods and lodge a claim against the Seller. The rate of penalty is charged at 0.5% for every 7 days, odd days less than 7 days should be counted by the paying bank or the Buyer from the payment.

FORCE MAJEURE: The Seller shall not held responsible if they, owing to Force Majeure cause or causes, fail to make delivery within the time stipulated in the Contract or cannot deliver he goods. However, in such a case, the Seller shall inform the Buyer immediately by cable and if it is requested by the Buyer, the Seller shall also deliver to the Buyer by registered letter, a certificate attesting the existence of such a cause or causes.

LAST SHIPMENT: if the late delivery is caused by the buyer, the buyer shall bear the
responsibility. If the delay has being made more than 45 days from the signing of the Sales Contract hereof, the buyer shall pay 3% of total amount each day, and if the delay is more than 6 months, the Seller has the right to dispose the down payment and the goods. If the late delivery is caused by the Seller, the Seller shall inform the Buyer in advance and get confirmation from the Buyer, and the related expense shall be born by the Seller.
(18) 質(zhì)量/數(shù)量異議：對(duì)于質(zhì)量方面的異議，買方必須在貨物抵達(dá)目的港后30天之類提出：對(duì)于數(shù)量方面的異議，買方必須在貨物抵達(dá)目的港后15天之內(nèi)提出。對(duì)由于保險(xiǎn)公司、運(yùn)輸公司、其他運(yùn)輸機(jī)構(gòu)或郵局的原因所造成的貨物差異，賣方不負(fù)任何責(zé)任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.

FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.
(20) 仲裁：因履行本合同所發(fā)生的一切爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，如協(xié)商仍不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān)，但仲裁委員會(huì)另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。
ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and
Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. During the arbitration period, clauses beside of the arbitrated parts shall be executed.

12.違約（Breaking the contract）：
12.1若超過裝運(yùn)期限賣方每天必須向買方支付貨物總價(jià)款0.5%的違約金。The sellers must pay the buyers0.5% of the price of all the goods per day for breaking the contract of shipping time.
12.2如果延期超過5天賣方須向買方支付貨物總價(jià)款5%的違約金。與此同時(shí)，買方保留是否繼續(xù)履行合同的決定權(quán)。
If the shipping time is defered for over 5 days, the sellers must pay 5% of the price of all the goods. At the same time, the buyers reserve the right to go on carrying out the promise or not.
13.仲裁（Arbitration）：在履行協(xié)議過程中，如發(fā)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，若通過友好協(xié)商未能達(dá)成協(xié)議，則提交中國國際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。若以方不符裁決，再則由新加坡國際仲裁法按照該會(huì)仲裁程序的有關(guān)規(guī)定進(jìn)行仲裁。以上所有仲裁費(fèi)用，除另有規(guī)定外，均由敗訴方負(fù)擔(dān)。All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

根據(jù)《中華人民共和國合同法》和有關(guān)法律法規(guī)的規(guī)定，乙方接受甲方的委托，為甲方產(chǎn)品開拓海外市場(chǎng)，雙方經(jīng)協(xié)商一致，簽訂本合同。
According to "People's Republic of China Contract Law" and the provisions of relevant laws and regulations, Party A hereby appoints Party B to develop overseas market. Both Parties have agreed to sign this agreement.
第一條：委托事項(xiàng)
1. THE ENTRUSTED MATTERS
甲方委托乙方發(fā)展海外市場(chǎng)為甲方營銷其產(chǎn)品。
Party A hereby appoints Party B to develop overseas market and promote its products.
第二條：委托事項(xiàng)的具體要求
2. OBLIGATION
（1） 甲方應(yīng)保證所生產(chǎn)產(chǎn)品的合法性及保證產(chǎn)品質(zhì)量。
Party A shall ensure the legality of the products and ensure product quality.
�。�2） 甲方與海外客商交易的具體價(jià)格、交貨方式、支付方式等由甲方與海外客商雙方協(xié)商約定。
All the trade terms including price, payment term, delivery, etc are negotiated by Party A and customers.
�。�3）甲方應(yīng)嚴(yán)格按國家的“FOB、 C&F或 CIF條款”執(zhí)行與海外客商所簽定的合同。
Party A shall be in strict accordance with the " FOB, C & F or CIF terms in the contracts.
�。�4）乙方承諾每年給甲方介紹______美元的銷售額。
Party B promise that the turnover will be more than USD ______ per year through Party B.
（5）乙方應(yīng)協(xié)助甲方回收全額貨款及提供最新的.市場(chǎng)信息。
Party B should assist Party A to receive the full payment as per the sales contracts.
Party B will provide the market information to Party A.
�。�6）乙方不能將甲方營業(yè)范圍內(nèi)的海外客戶關(guān)系泄露給第三方，否則甲方會(huì)按盜竊公司機(jī)密對(duì)乙方提起公訴。
Party B should not disclose the customer information to a third party. Otherwise Party A will indict Party B.
第三條：傭金的計(jì)算、給付方式、給付時(shí)間
3. Rate of commission, payment term
（1） 甲方同意按每筆合同成交總額（扣除稅金，運(yùn)費(fèi)和貨代的費(fèi)用）的______支付傭金給乙方。
Party A will agree to pay ______ of the total turnover of each contract - deducting taxes and the freight- to Party B.
�。�2） 給付方式及時(shí)間：
Payment term
在甲方收到合同金額全款后14天內(nèi)一次性付給乙方。
Party A will pay 100% commission within 14 days upon receiving the full payment from customer.
第四條：違約責(zé)任
4. Liability
甲方若不按本合同第三條的（2）執(zhí)行，逾期一天應(yīng)支付乙方滯納金，滯納金系數(shù)為：總傭金的5‰/天。
If Party A does not follow (2) of Section 3, Party A have to pay the overdue fine. The amount is 5 ‰ of the total commission per day.
第五條：協(xié)議仲裁
5. AGREEMENT ARBITRATION
雙方如果發(fā)生糾紛，可憑此合同向甲方所在仲裁機(jī)構(gòu)進(jìn)行。In the event of dispute, both parties can present to arbitration court from Party A’s place.
第六條：本合同未盡事宜雙方協(xié)商解決。
6. CHANGES.
Any changes of terms relating to this agreement must be done in a written form, and agreed upon by both parties.
現(xiàn)行協(xié)議條款的修改必須經(jīng)協(xié)議雙方授權(quán)人書面簽字方能生效。
第七條：特別約定。
SPECIAL CLAUSE
本合同一式肆份雙方各執(zhí)貳份具有同等法律效用。中英文版本如有沖突，以中文版本為準(zhǔn)。 This agreement has been drawn up in four identical copies, of which two copies for each party. The Chinese version of these Terms and Conditions shall prevail wherever there is a discrepancy between the English and Chinese versions. 第八條：履行
IMPLEMENTATION
本合同雙方簽字蓋章即為有效。
Whilst signature on this agreement certifies the intention of both parties to the agreement, the terms of this agreement shall become binding upon both parties only at such time as the following have been complied with, in writing.
