　　第一條 甲方為乙方股東之一，就甲方借款給乙方相關(guān)事宜，經(jīng)協(xié)商一致達(dá)成以下協(xié)議： partyais one shareholder of party b, regarding the issue that party a lend a loan to party b, after parties friendly negotiation , agreed as follows: 第一條 借款金額 the amount of the loan

　　第五條 協(xié)議的生效、變更與終止

　　taking effect, modification and termination of the agreement

　　1. 本協(xié)議自乙方將本協(xié)議第一條的款項(xiàng)劃入甲方指定的賬戶(hù)之日起生效，甲方指定賬戶(hù)信息如下：

　　this agreement would take effect after party b transfer the amount of the capital set forth in article 1 thereof to party a’s designated bank account; the information of the bank account would as follows: 賬戶(hù)持有人名稱(chēng)(name of the beneficiary)： 賬號(hào)(bank account number)： 開(kāi)戶(hù)行名稱(chēng)(name of the bank)： 開(kāi)戶(hù)行地址(address of the bank)：

　　2. 本協(xié)議自生效后，如須變更，須經(jīng)雙方協(xié)商一致并書(shū)面簽章確認(rèn)。

　　3. 借款期限屆滿(mǎn)前一個(gè)月內(nèi)，經(jīng)乙方請(qǐng)求，如甲方同意續(xù)借前述借款，則本協(xié)議依照原計(jì)息方式自動(dòng)延期一年。

　　within one month after expiration of the lending term, if party a agrees to renew

　　the loan after party b’s application, the lending term could be automatically extended for one year and remained the original lending rate. 4. 本協(xié)議自乙方全額歸還借款本金及利息之日起終止。

　　this agreement would be terminated after partybrepay the total amount of principle and interest to party a. 第六條 其他 miscellaneous

　　1. 本協(xié)議如有未盡事宜，甲乙雙方經(jīng)協(xié)商一致，可簽署補(bǔ)充協(xié)議，補(bǔ)充協(xié)議與本協(xié)議具有同等效力。

　　any issue that not covered in this agreement could be settled in the additional agreement after parties negotiation; the additional agreement has same legal effect as this agreement. 2 / 3

　　2. 本協(xié)議履行過(guò)程中如產(chǎn)生糾紛，甲乙雙方應(yīng)通過(guò)協(xié)商解決，協(xié)商不成，任意一方均可向當(dāng)?shù)赜泄茌牂?quán)的人民法院提起訴訟。

　　3. 本協(xié)議一式兩份，甲乙各執(zhí)一份，均具有同等法律效力。
